1. Acceptance of terms

By accessing or using ImageScript ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and NextMotive (Houriehsadat Jalali), operator of ImageScript, governed by the laws of the Federal Republic of Germany.

2. Description of service

ImageScript provides AI-powered image analysis tools including alt text generation, SEO-optimised filename suggestions, caption generation, OCR, image-to-prompt generation, product SEO metadata, structured data (JSON-LD), and XML image sitemap creation. The Service is offered as a web application with free and premium subscription tiers.

3. Account and authentication

Accounts are created and managed via Google Sign-In through Firebase Authentication. You are responsible for maintaining the security of your Google account credentials. ImageScript does not store passwords. We may suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Acceptable use

You agree not to:

• Upload illegal, harmful, defamatory, or copyright-infringing content
• Upload images containing personal data of third parties without their valid consent
• Attempt to bypass rate limits, circumvent access controls, or abuse the Service
• Reverse-engineer, scrape, or automate access outside of provided APIs
• Use the Service to generate content that violates applicable law or third-party rights
• Use the Service in any manner that could damage, disable, or impair its operation

5. Intellectual property

You retain full ownership of the images you upload. AI-generated outputs (alt texts, captions, filenames, structured data, sitemaps) are provided for your use without restriction. The Service's source code, design, brand identity, and training materials remain the exclusive property of NextMotive. You may not reproduce, redistribute, or sublicense any part of the Service without prior written permission.

6. Subscription and billing

Premium subscriptions are offered on a recurring basis. Prices are displayed at checkout inclusive of applicable VAT. Payment is processed by Stripe (Stripe Payments Europe, Ltd., Ireland) or PayPal (PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg) acting as our payment service providers. We do not store payment card details.

You may cancel your subscription at any time via your account settings. Access to premium features continues until the end of the current billing period. No refunds are issued for partial billing periods, except as required by applicable law or as provided under your right of withdrawal below.

7. Right of withdrawal (Widerrufsrecht)

If you are a consumer resident in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason (Widerrufsrecht pursuant to § 355 BGB and the EU Consumer Rights Directive 2011/83/EU).

The withdrawal period begins on the day the contract is concluded. To exercise this right, notify us by an unambiguous statement (e.g. by email to imagescript@nextmotive.studio) before the withdrawal period expires. We will refund all payments received within 14 days of receiving your withdrawal notice, using the same means of payment you used for the original transaction.

Premature expiry of the right of withdrawal: Pursuant to Art. 16(a) of the Consumer Rights Directive and § 356 Abs. 5 BGB, the right of withdrawal expires before the end of the 14-day period if the Service has been fully performed and performance began with your express prior consent and acknowledgement that you lose your right of withdrawal upon full performance. By subscribing you confirm your express request for immediate performance of the Service and acknowledge that your right of withdrawal will be lost once the Service has been fully performed.

8. Data and privacy

Your use of the Service is governed by our Privacy Policy. We process personal data in accordance with Regulation (EU) 2016/679 (GDPR). Uploaded images are stripped of EXIF metadata (including GPS coordinates and device identifiers) before being transmitted to any AI provider. Images are not retained beyond the active analysis session unless you have an active account with analysis history. Full details are set out in our Privacy Policy.

9. AI-generated content disclaimer

Outputs generated by the Service (alt texts, captions, filenames, structured data) are produced by AI models and may contain inaccuracies, omissions, or errors. You are solely responsible for reviewing all outputs before publishing or relying on them. ImageScript makes no warranty as to the accuracy, completeness, or fitness for a particular purpose of any AI-generated content.

10. Limitation of liability

To the fullest extent permitted by applicable law, NextMotive shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you for the Service in the three months preceding the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded by law (including under § 309 Nr. 7 BGB).

11. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Heidelberg, Germany shall have non-exclusive jurisdiction over any disputes arising from these Terms, without prejudice to mandatory consumer protection rights applicable in your country of residence under EU law.

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are not obliged to participate in dispute resolution proceedings before a consumer arbitration board and do not generally do so.

12. Termination

We may suspend or terminate your access if you violate these Terms or engage in fraudulent activity. You may delete your account at any time via Account settings, which initiates full data erasure in accordance with GDPR Article 17 (right to erasure). Cancelling a subscription does not automatically delete your account.

13. Changes to terms

We may update these Terms at any time. We will notify you by email or in-app notification for material changes at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Service and may delete your account.
